Surprise After Frozen Mega-Deal: Competitor Strikes

Earlier this year, Ehandel.se reported on the cancelled merger between Parfym.se and Bangerhead, which later resulted in a company reconstruction for the latter. Now, industry colleague Nordicfeel Group announces that it intends to acquire Bangerhead.

The deal is conditional on Bangerhead's current reconstruction being carried out as planned, as well as approval from the relevant competition authorities. The plan is for the acquisition to be completed during the summer.

New Issue to Regulate Debts

Bangerhead's liquidity crisis began in 2025 as a result of squeezed margins, one-time costs and the operational disruptions that arose when the previous merger with Parfym.se was not completed. Through a directed new issue to, among others, Nordicfeel Group Holding AB, the company is now being supplied with capital to pay off debts and strengthen its financial position as the reconstruction is exited.

Following the acquisition, Bangerhead will continue to operate as an independent brand. However, the companies will integrate their tech and data structures, and Bangerhead's logistics will be moved to Nordicfeel Group's facility in Växjö.

First Profit Since Pandemic Years

At the same time as Nordicfeel Group announces the acquisition, the company is releasing its own figures. The e-commerce retailer reports growth of 6 percent for the latest financial year and shows a positive EBITDA result for the first time since the financial year 2021/2022.

The improved result is described as the effect of a three-year strategic restructuring effort. During this period, the company has, among other things, changed tech and data structure, established the logistics center in Växjö and opened a physical store in Stockholm.
