German financial inspection closes case regarding Zalando's acquisition of About You

Avoids fines.

At the end of June, the German financial supervisory authority, BaFin, initiated a review of Zalando's consolidated financial statements for 2025. Now, the e-commerce company announces that the review is completed. The authority has determined that certain information was omitted, but the case is closed without fines for the company.

The review was initiated following Zalando's acquisition of industry peer About You. BaFin has now determined that information regarding a transaction with related parties was missing in the notes to the consolidated financial statements for 2025.

Zalando maintains, as it did when the review was initiated, that this is a formal detail and that all necessary information was available in connection with the transaction. The e-commerce company writes in a statement that it acknowledges the omission, but adds:

As stated at the beginning of this review, this is a purely formal and immaterial aspect of the notes to the financial statements. All relevant information regarding the acquisition of About You shares, including the companies involved, the transaction structure and the purchase price, was fully publicly available as part of the public takeover bid.

The decision from BaFin will not have any impact on Zalando's financial key figures, assets or operational business. The company further announces that no fine has been issued. Zalando will bear the processing costs incurred in connection with the case, which it assesses as financially insignificant. With this, the authority's review is now closed.
